Corporate Commercial Associate
Swainson Miki Peskett LLP is currently seeking a talented and motivated Corporate Commercial Associate to join our team. This is an excellent long-term career opportunity to work in a dedicated business-first law firm with experienced senior lawyers that are committed to a hands-on approach to mentorship and training. As a member of the Corporate-Commercial practice group, you will benefit from monthly internal practice group meetings, willingness to provide relevant professional training (externally and most importantly, internally), empowerment to grow and take on high-quality work to accelerate development, all underpinned by an open-door and respectful environment where questions and collaboration on legal analysis are the norm.
The ideal candidate will have 3-10 years of relevant experience and a strong background in corporate and commercial law. As a key member of our firm, you will work closely with firm lawyers and paralegals to provide legal service to clients.
Responsibilities include but are not limited to:
- Draft and negotiate commercial agreements, including share purchase agreements, asset purchase agreements, and other transactional documents.
- Advise clients on corporate governance matters, regulatory compliance, and business structuring.
- Advise and assist on mergers and acquisitions (M&A) transactions, including due diligence, drafting, and negotiation.
- Assist with corporate finance deals, including corporate lending, equity raises, and key man buy-ins.
- Provide legal guidance on operational contracts, business succession planning, and policy drafting.
- Working collaboratively with other firm lawyers and paralegals, as well as other professionals, to achieve successful outcomes for firm clients.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the Law Society of Alberta.
- 3-10 years of relevant experience in corporate law, preferably with exposure to the listed deal types.
- Strong analytical skills and attention to detail.
- Excellent communication and negotiation abilities and comfortable and confident in interfacing with clients.
- Ability to work independently and as a part of a team.
- Our ideal candidate will have a demonstrated ability to originate client work and/or build fruitful, strategic referral relationships.

Commercial Real Estate & Lending Associate
Swainson Miki Peskett LLP is currently seeking a talented and motivated Commercial Real Estate & Lending Associate to join our team.
Our ideal candidate will have 3-10 years of relevant experience in Commercial Real Estate & Lending. As a key member of our firm, you will work closely with senior lawyers and clients, provide legal advice, and handle a variety of real estate transactions.
Responsibilities include but are not limited to:
- Draft review and negotiate various contracts and agreements relating to commercial real estate, including but not limited to:
- Loan security documents
- Purchase and sale agreements
- Commercial leases
- Other agreements relating to real property (access agreements, construction management agreements, etc.)
- Conducting due diligence for real estate and lending matters, including but not limited to the review and summary of:
- Registered land titles instruments and caveats
- Agreements relating to real property (access agreements, construction management agreements, etc.)
- Off-title searches
- Expert reports
- Advising clients on various real estate related matters and issues including but not limited to:
- Purchasing commercial real estate
- Selling, leasing, and financing real estate
- Real estate construction and development
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.

- 3-10 years of relevant experience in Commercial Real Estate & Lending, preferably with exposure to the listed deal types.
- SMP does not consider Residential Real Estate as commensurate Commercial Real Estate experience.
